Comparing two contracts

The contract comes back signed, “with a few wording tweaks”. Let us look at which ones.

A lease sent out for review, back signed

You sent out a draft commercial lease. Three weeks later the landlord sends it back signed, with a pleasant note: “a few wording tweaks”. Fifteen clauses, two pages, no tracked changes, and a numbering that no longer lines up.

One click, and every word that moved comes back out — sorted by what it changes for you.

Entirely fictional lease. Parties, addresses and amounts invented. No legal force, no legal advice produced.

How it is built

The model reads, the code compares, the model qualifies. Each PDF is split into clauses by a language model with a single instruction: copy, do not summarise. The comparison itself is a calculation: clauses matched by similarity, then a word-by-word diff. Not one difference is found by the model — they are all computed, so it can neither invent one nor miss one.

Differences that only concern capitalisation, punctuation, accents or the way an amount is written are neutralised by the code before anything is even submitted: they are filed as “wording” without consuming a call. The model only handles the rest, and only to say what it changes.

No legal advice is produced: neither on the validity of a clause nor on whether to sign. The comparison is mechanical and does not replace a lawyer reading the document.

Who built this

My name is Nicolas Baier. I have been writing code since 2005, on my own, with no imposed framework or CMS, building the tools companies cannot buy off the shelf: business applications, internal portals, automations.

This page is not a product. It is a demo module, built to show a mechanism. Yours would be wired to your own documents, your own vocabulary and your own rules.

Frequently asked questions

How does the comparison find the differences?

The model reads both versions and copies them out word for word; the code then does the comparison itself, clause by clause and then word by word; the model only qualifies what genuinely changed. A deleted clause does not throw off the analysis of the rest.

Are purely cosmetic differences flagged?

They are detected and then filed separately: a rewording that does not change the substance is marked “wording”, without even asking the model. What changes your obligations is put front and centre, with the exact passage.

Is this legal advice?

No. The module shows what changed between two versions and qualifies it; it gives no legal advice. For an automated review tailored to your documents and your standards: AI contract analysis.

Are the contracts being compared real?

No: two fictional versions of a commercial lease, written for the demo, with invented companies. No real document passes through this page.

Can I compare my own contracts here?

Not in the demo — it runs on its two sample documents. A tool wired to your contracts, your sensitive clauses and your alert thresholds is precisely what I build to order.

Does this module speak to you?

Tell me in two lines what you would want it to do at your company. I reply within 24 hours, with no sales follow-up.

Or, more simply: fifteen minutes on the phone.
